Gupta said that a merger would allow CEO Elon Musk to "combine the vision, mission, and engineering leadership of the two major platforms," adding that the two companies' shared AI ambitions could serve as "a potential strategic glue." Gupta noted that potential obstacles include multi-jurisdictional regulatory approvals, governance and voting rights symmetry, and the "perception that the merger would be an acquisition led by SPCX, rather than a merger of equals."
Gupta added that JPMorgan will monitor SPCX's acquisition currency, the regulatory landscape, and Musk's voting power in Tesla as catalysts signaling the potential merger is approaching. JPMorgan indicated that if a transaction occurs, the most likely structure would be SpaceX-led acquisition of Tesla in an all-stock deal.
